Companies House requires annual accounts from all limited companies, even dormant ones. Dormant accounts are a simplified filing that confirms the company had no significant accounting transactions during the period.

HMRC is separate

HMRC dormancy is a different obligation entirely.

Telling HMRC your company is dormant is a separate process from filing dormant accounts with Companies House. If HMRC has asked for a Corporation Tax return, you still need to respond. Our higher-tier packages cover both.

What are dormant accounts?

Dormant accounts are a set of simplified financial statements filed with Companies House for a limited company that has not traded or carried on any business during the accounting period. They confirm the company exists but has had no significant accounting transactions.

Can I file dormant accounts if the company has traded?

No. If your company has traded, received income, paid business expenses, bought assets, or had any significant accounting transactions during the period, dormant accounts are not appropriate. You would need to file full statutory accounts instead. If you are unsure, our review will help clarify your position.

Is this the same as telling HMRC my company is dormant?

No. Filing dormant accounts with Companies House and informing HMRC that your company is dormant for Corporation Tax purposes are two separate obligations. Companies House dormancy relates to your accounting records. HMRC dormancy relates to whether you need to file a Corporation Tax return. What if HMRC has issued a CT600 notice?

If HMRC has issued a notice requiring a Corporation Tax return, you must respond even if the company is dormant. A nil CT600 may be required. If this applies to you, select our Dormant Accounts + Nil CT600 Review package and include details in your notes. We will review and advise.

Do I need my Companies House authentication code?

Yes. To file documents on behalf of your company, we require the Companies House authentication code. This is a six-digit code issued to your registered office address when the company was formed. It is kept securely, never shown publicly, and only used for filing purposes.

What happens after payment?
